On October 10, 2008, the U.S. Securities and Exchange Commission ("SEC") published revisions to Rule 12g3-2(b) of the U.S. Securities Exchange Act of 1934 ("Exchange Act") that permits depository institutions to establish unsponsored American Depository Receipt ("ADR") programs without the participation of a non-US issuer. An ADR is a negotiable receipt, similar to a stock certificate, issued by a U.S. bank or depository to evidence an ordinary share of a non-U.S. issuer that has been deposited with the U.S. bank or depository. ADRs permit a U.S. investor to purchase in the U.S. market an interest in a non-U.S. issuer’s securities. An ADR program which is unsponsored is established without the non-U.S. issuer’s cooperation or even its consent. Meituan does not consent to the establishment of any unsponsored ADR program, and further does not authorize, endorse, support or encourage the creation of any such unsponsored ADR program in respect of its securities. Meituan has not and will not actively, directly or indirectly participate in the creation of any unsponsored ADR program. Meituan specifically disclaims any liability whatsoever arising out of or relating in any way to any unsponsored ADR program. Meituan does not represent to any depository institution or any other person, nor should any depository institution or any person rely on a belief that the website of Meituan includes all published information in English or that Meituan otherwise satisfies the exemption criteria set forth in Exchange Act Rule 12g3-2(b).
